These terms and conditions govern this order, and by proceeding with the purchase, the buyer agrees to abide by them. By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence. You may not use our products for any illegal or unauthorized purpose, nor may you violate any laws including but not limited to copyright laws. References to the seller, we, our, us or the company pertain to Palasha Fabric LLC.
We reserve the right to update, change or replace any part of these Terms of Service by posting updates to our website. Our store is hosted on BigCommerce, allowing us to sell our products & Services.
Color Variations and Imperfections. We strive to display as accurately as possible the colors and images of our products that appear at the store. Color variations and imperfections may occur.
Environmental Factors and Fabric Applications. Buyers should assess fabric suitability and compliance with local laws before purchasing. The company is not liable for fabric performance affected by climatic conditions like heat, light, and humidity and for product issues caused by inappropriate cleaning, lack of maintenance, improper application and misuse. Fabric testing requirements vary, and we disclaim all warranties including without limitation, warranties of merchantability, safety, or fitness for a particular purpose. Fabric treatments like flame retardant may affect fabric quality, for which we disclaim liability. Palasha Fabrics LLC disclaims any liability for any damage resulting from product specifications provided.
Modifications To the Service & Pricing. All descriptions of products or product pricing are subject to change at any time without notice. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of any product or service. We retain the right, though not the obligation, to restrict the sale of our products or services for any reason at any time. and we may also limit the quantities of products offered.
Sales Tax Exemption. To qualify for sales tax exemption on your purchases, you should email us your resale certificate.
Payment Terms. Payments are due within the time period specified on invoice. Failure to make timely payments, buyer agrees to pay any and all cost of collection and litigation, including but not limited to attorney fees and interest.
Delivery and Shipping. In-stock orders are typically shipped within 2-3 business days. Delivery dates provided are estimates, and the company is not liable for delays beyond our control. The buyer assumes responsibility for all shipping & handling costs, with title passing upon full payment and risk of loss upon delivery. We choose shipping carriers based on cost considerations. In case of transit damage, you agree to inform us within 48hrs of delivery. Any issues must be reported in writing or via email, and goods cannot be returned without written authorization from us. Goods delivered are at the risk of the buyer. In no event shall the seller be liable for loss of profits, late deliveries damages for breach of contract by buyer, or other consequential or contingent losses.
Defective Items and Issues. Inspect your order upon receipt and contact us within 48 hours of delivery if the item(s) is defective, damaged, or you have received the wrong item. To be eligible, the item must be uncut and unused, in the same condition as received, with tags, and in its original packaging. We will assess the issue and take corrective action. Authorization is required before returning items. Please contact us with the reason for return, proof of purchase, pictures of the damage, delivery address, and contact details. If accepted, we'll provide detailed return instructions. Items returned without pre-authorization will not be accepted. The customer is responsible for secure repackaging of the product(s) and providing accurate information for return authorizations. We have a no refund, exchange-only policy. We may decline return if the buyer is involved in unauthorized resale of the product(s).

Billing and Account Information. You agree to provide current, complete and accurate purchase and account information for all purchases.
Errors and Omissions. At times, our site or service may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, offers, shipping charges, transit times, and availability. We retain the right to rectify any such errors, inaccuracies, or omissions, and to modify or update information or cancel orders (even after you have placed your order), at any time without prior notice.
Merchantability, Misrepresentation and No Third-Party Beneficiaries. Third parties have no rights in this transaction, and the company sells exclusively to trade buyers. We make no warranty, regarding the merchantability of its products. We are not liable for any misuse or misrepresentation of the goods by our buyers or third parties.
Copyright & Intellectual Property. All designs, products, content, and materials provided on the website are our exclusive property. These are safeguarded by copyright and intellectual property laws and may not be reproduced, reprinted, or copied in any form without our advance written consent. Unauthorized use of trademarks or copyrighted materials is prohibited.
Disclaimer of Warranties and Limitation of Liability. We do not guarantee or warrant that your use of our service will be uninterrupted, timely, secure or error-free. The company disclaims all warranties unless expressly offered in writing. Liability is limited to the replacement of defective products due to manufacturing defects upon inspection and authorization by the company. Palasha Fabrics LLC and its employees, suppliers, or service providers are not liable for any direct, indirect or consequential damages in any way related to your use of our service or product.
Privacy policy. Any personal information provided to us, including name, address, phone number, and email address, will be treated confidentially and will not be shared, sold, or rented to any outside entities or individuals.
Customized Orders and Shipping. Once we accept a customized order, and begin production, cancellation is not permitted. Any supplementary costs resulting from customization will be detailed on the invoice and must be settled in accordance with this agreement. Custom and non-stock orders have longer lead times. The buyer assumes responsibility for all shipping costs and other costs as stated on the proforma and commercial invoice. Seller will immediately notify Buyer in writing of any event or condition that could delay delivery of the products beyond the delivery date. Buyer agrees that it will not hold Palasha Fabrics LLC accountable for cargo or any other delays in delivery occasioned by circumstances over which we have no control, such as weather, customs, traffic, congestion or strike at the port. Shipment and delivery dates are estimates, and in no case shall we be liable for any consequential or special damages arising from any delay in delivery.
Legal Disputes. If a dispute arises out of or relates to this contract, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the American Arbitration Association (binding arbitration in the state of Texas) under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure.
